Spice Route Legal Advises MULTILINK on Acquisition by Bain Capital-backed Dhoot Transmission

Spice Route Legal is pleased to have advised Bengaluru-based MULTILINK and its promoters on the strategic acquisition of the entity by Bain Capital-backed Dhoot Transmission Group, by way of slump sale.

MULTILINK is a leading manufacturer and supplier of electrical and electronic products for two-wheeler and three-wheeler Original Equipment Manufacturers (OEMs), with a diversified portfolio spanning chargers, sensors, relays, switches and other critical electronic components. The entity services several marquee OEMs and operates manufacturing facilities across Hosur, Mysuru and Manesar.

Dhoot Transmission Group is a globally recognised automotive components manufacturer engaged in the design, engineering and manufacture of wiring harnesses, electronic sensors and controllers, switches, connection systems and EV-focused products. Backed by Bain Capital, Dhoot has established itself as a leading player in the automotive electronics and electrical components ecosystem, with a growing international footprint spanning over 20 manufacturing facilities across India, the UK, Slovakia and Thailand.

The acquisition marks another significant step in Dhoot’s strategy to build a scaled, future-ready automotive electronics platform, aligned with the rapid electrification of mobility, increasing electronic content in vehicles and rising EV adoption. The transaction is expected to significantly strengthen Dhoot’s capabilities in the fast-growing two-wheeler and three-wheeler segments by combining complementary product portfolios, manufacturing depth and longstanding OEM relationships.

The combined platform is also expected to unlock substantial cross-selling opportunities across a wider customer base, while further enhancing innovation, manufacturing synergies and growth in high-demand automotive electronics segments. 

This transaction is among several mandates undertaken by Spice Route Legal in the automotive, EV and mobility ecosystem over the past year, reflecting the continued expansion of the Firm’s mobility-focused practice and its growing role in advising on strategic transactions across the sector.
